Terms of Service

Effective date: February 24, 2026

These Terms of Service ("Terms") govern access to and use of WABIZ.CHAT's websites, applications, and related business messaging services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

1. Contracting Entity and Acceptance

These Terms are a binding agreement between you (or the entity you represent) and META INC., located at 4155 E JEWELL AV E, DENVER, CO 80222, USA ("WABIZ.CHAT", "we", "our", or "us"). By accessing or using the Services, you accept these Terms.

WABIZ.CHAT provides SaaS functionality for business messaging operations, including multilingual translation, voice transcription, AI-assisted suggestions, team inbox workflows, analytics, and integrations with third-party communication platforms.

4. Customer Data and Processing Terms

As between the parties, Customer retains ownership of Customer Data. You grant us a limited right to process Customer Data to provide, secure, support, and improve the Services in accordance with applicable law and these Terms.

Where legally required, the parties will enter into a separate data processing addendum governing processor obligations and international transfer controls.

6. Third-Party Platforms and External Fees

Integrations with platforms such as WhatsApp Business and Meta products are subject to those providers' terms and policies. You are responsible for third-party messaging, template, and usage fees charged by those providers unless expressly included in your order terms with us.

7. AI Features Disclaimer

AI-generated translations, summaries, and recommendations may be incomplete or inaccurate. You are solely responsible for validation and final decisions before external communication or operational reliance.

9. Confidentiality

Each party will protect the other party's confidential information using reasonable safeguards, use it only for contractual purposes, and disclose it only to personnel and contractors with a need to know and equivalent confidentiality obligations.

10. Security and Incident Notification

We maintain administrative, technical, and organizational controls designed to protect Customer Data. For confirmed security incidents affecting Customer Data, we will provide notice without undue delay as required by law and contract.

11. Intellectual Property

WABIZ.CHAT and its licensors retain all rights, title, and interest in the Services, software, documentation, and related intellectual property. No license is granted except as expressly stated in these Terms.

12. Term, Suspension, and Termination

These Terms remain in effect while you use the Services. We may suspend or terminate for material breach, legal risk, abuse, or security risk. You may terminate according to your subscription terms. Termination does not relieve payment obligations accrued before termination.

13. Warranty Disclaimer

Except as expressly stated in writing, the Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, revenue, goodwill, or data.

Except for excluded liabilities (including payment obligations, willful misconduct, gross negligence, and liabilities that cannot be limited by law), each party's aggregate liability under these Terms will not exceed the fees paid or payable by Customer for the Services in the twelve (12) months preceding the event giving rise to liability.

15. Indemnification

15.1 Customer indemnity

Customer will defend and indemnify WABIZ.CHAT from claims arising from Customer Data, Customer's unlawful use of the Services, or Customer's breach of law or third-party platform requirements.

15.2 Company indemnity

WABIZ.CHAT will defend and indemnify Customer against third-party claims that the Services, when used as authorized, directly infringe intellectual property rights, subject to standard exclusions.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. The state or federal courts located in Denver, Colorado have exclusive jurisdiction, except where mandatory law provides otherwise.

17. Changes to Terms

We may update these Terms from time to time. Material changes will be notified through the Services or by other reasonable means. Continued use after the effective date constitutes acceptance of revised Terms.
